1. AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Syluneo (“we,” “us,” or “our”), concerning your access to and use of the Syluneo website (https://syluneo.com) as well as the Syluneo mobile application (collectively, the "Services") [147].

By accessing or using the Services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. MENTAL HEALTH & MEDICAL DISCLAIMER

SYLUNEO IS A SELF-GUIDED MENTAL WELLNESS MOBILE APPLICATION [154]. IT OFFERS EDUCATIONAL AND SELF-HELP TOOLS, INCLUDING MOOD TRACKING, CBT-STYLE JOURNAL REFLECTIONS, GUIDED MINDFULNESS AUDIO, PROGRESS ANALYTICS, AND DAILY CHECKLISTS TO HELP BUILD HEALTHY HABITS. THE SERVICES DO NOT PROVIDE CLINICAL THERAPY, MEDICAL ADVICE, PROFESSIONAL DIAGNOSIS, OR PSYCHIATRIC TREATMENT. THE SERVICES ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL OR MENTAL HEALTH CARE. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY OR A MENTAL HEALTH CRISIS, PLEASE SEEK IMMEDIATE PROFESSIONAL MEDICAL ASSISTANCE OR CONTACT YOUR LOCAL EMERGENCY SERVICES / HOTLINES.

3. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

4. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

All registration information you submit will be true, accurate, current, and complete.
You will maintain the accuracy of such information and promptly update it as necessary.
You have the legal capacity and you agree to comply with these Terms and Conditions.
You are at least 18 years of age [156]. The Services are strictly not targeted to, nor intended for, individuals under the age of 18.
You will not access the Services through automated or non-human means, whether through a bot, script, or otherwise.
Your use of the Services will not violate any applicable law or regulation.

5. USER REGISTRATION & ACCOUNTS

You are required to register an account to access the Services [157]. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

6. SUBSCRIPTIONS, BILLING, AND FREE TRIALS

Plans & Currency: We offer subscription-based access to Syluneo Pro features [160]. Billing is processed in US Dollars (USD) and Euros (EUR), with localized currency conversions handled automatically by the mobile platform storefronts (App Store / Google Play) [162, 167, 168].
7-Day Free Trial: Your premium subscription may begin with a 7-day free trial [163, 164]. At the end of the free trial, your payment method will be charged automatically for the chosen subscription tier unless you cancel the subscription at least 24 hours before the trial ends [165].
Automatic Renewal: Subscriptions renew automatically [161]. Your monthly or annual renewal cycles will charge your designated payment account automatically unless auto-renew is turned off in your app store settings [162].
Billing Processors: All payments and transactions are processed securely through Apple In-App Purchases, Google Play Billing, and RevenueCat [166].
No Direct Refunds: All subscription billing, invoicing, and refunds are managed entirely by Apple and Google [169]. Syluneo does not process refunds directly.
Cancellation: You can cancel your subscription at any time [170]. To prevent the next billing cycle, cancellations must be completed through your Apple App Store/iTunes or Google Play account subscription settings [171].

7. MOBILE APPLICATION LICENSE (EULA)

Subject to your compliance with these Terms, Syluneo grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the mobile application on your personal mobile device strictly for personal, non-commercial self-guidance [159]. You shall not decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application.

8. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include, but are not limited to: circumventing, disabling, or interfering with security-related features; systematic retrieval of data; decompiling or reverse engineering; or using the system to send spam or scrape system resources [172].

9. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, designs, music, sound, video, information, applications, software, and other content belonging to or originating from third parties [176]. We are not responsible for any Third-Party Websites or Content accessed through the Services.

10. LIMITATION OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO A MAXIMUM AMOUNT OF $50.00 USD [184, 185, 186].

11. DISPUTE RESOLUTION & BINDING ARBITRATION

Informal Negotiations: The parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration [178, 180].
Binding Arbitration: If unresolved via negotiations, the dispute will be resolved exclusively and finally by binding arbitration before a single arbitrator [178, 183].
Venue & Language: The arbitration venue shall be Ballia, Uttar Pradesh, India [179, 181]. The language of the arbitral proceedings shall be English [182].

12. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy hosted at https://syluneo.com/privacy-policy [191, 192]. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms and Conditions.
